Terms of sale for trade customers

1. Who we are and who we sell to

Papaya Jewelry is the wholesale brand of LIMONJEWELRY, S.L., Gran Vía de les Corts Catalanes 197, 8º A, 08014 Barcelona, Spain (NIF B88945316), registered in the Registro Mercantil de Barcelona (Barcelona Commercial Registry), Tomo/IRUS 1000476385793, Folio 1, Hoja B-660034, Inscripción 1ª. We sell only to businesses and professionals who buy the products for resale or for their own business. By applying for a trade account or placing an order you accept these terms.

We do not sell to private individuals through this site. Rules designed for purchases by private individuals do not apply to orders governed by these terms.

2. Trade account

Wholesale prices and ordering require an approved trade account. We review every application (company name, tax number, type of business) and may decline it, or close an account, where the details are incorrect, these terms are not met or a payment is outstanding. You are responsible for keeping your details up to date and for safeguarding your login credentials.

3. Orders

Prices and availability are shown once you log in. By confirming an order you make an offer to buy; the contract is formed when we send you the order confirmation by email. We may decline or cancel an order (for example because of a pricing error, a stock shortage or an unpaid earlier order); if you had already paid, we refund the full amount.

The current minimum order, excluding VAT, is shown in the cart before checkout. Quantities per item are subject to the stock available at the time of the order.

4. Prices, taxes and discounts

Prices are net, in euros and exclude VAT. VAT at the applicable rate and any other tax or surcharge required by law are added at checkout and on the invoice. Volume discounts apply as published on the site when the order is confirmed. We may change prices at any time; confirmed orders are not affected.

5. Payment

• Bank transfer: the account details, the amount and the reference (order number) are in the order confirmation and in your account. We hold the goods for the period stated in the confirmation; if the payment has not arrived by then, the order is cancelled and the goods become available again. We ship as soon as the payment arrives.
• Card: when available, the charge is made when the order is confirmed, through our payment provider.

The goods remain the property of LIMONJEWELRY, S.L. until the order has been paid in full (retention of title). Invoices are sent by email.

6. Shipping and delivery

We ship with GLS from Spain, with delivery within 48–72 working hours of dispatch. For now we only ship to mainland Spain and the Balearic Islands. The shipping cost is calculated from the weight of the order and shown, excluding VAT, before you confirm. Delivery times are indicative; the risk of loss or damage passes to the customer on delivery.

7. Receipt, damage, shortages and defects

Check the goods on receipt. If the parcel arrives damaged or items are missing, note it on the carrier's delivery note and write to us within four working days of receipt, with photos and the order number. Defects that could not be seen on delivery must be reported within thirty days of receipt (articles 336 and 342 of the Spanish Commercial Code). We resolve each case by replacement, credit or refund, as appropriate.

Conforming goods cannot be returned because of a change of mind. Any other return requires our prior written agreement and, where applicable, the transport costs are borne by the customer.

8. Warranty and liability

We are responsible for the conformity of the goods under the rules that apply to sales between businesses. Except where the law does not allow it to be limited, our liability for an order is limited to the amount paid for that order and does not cover loss of profit or indirect damage. We are not liable for delays or failures caused by events beyond our reasonable control.

9. Brand and images

The Papaya Jewelry brand and the texts and photographs on the site belong to LIMONJEWELRY, S.L. or its licensors. For as long as the business relationship lasts, you may use the photographs of the products you have bought from us solely to resell them, unaltered and without presenting yourself as an official distributor. Any other use requires our written permission.

10. Data protection

We process your company's data and the data of its contact persons as described in our privacy policy.

11. Governing law and jurisdiction

These terms are governed by Spanish law. Any dispute is submitted to the courts of Barcelona, unless the law provides otherwise. If a version in another language exists, the Spanish version prevails.

12. Changes and contact

We may update these terms; the version that applies to an order is the one published on the site when the order is confirmed. The date at the top shows the latest revision. For any question, email us at hello@papayajewelry.com.
